Reverse Mergers

Reverse Merger is a mechanism that allows privately held companies to trade their shares publicly. It is a timely and less expensive method to become public. In the United States it is a commonly accepted procedure. Reverse Merger requires that Òthe shellÓ - the company into which the private one will merge - be a trading company.

Most shells are quoted on the NASDAQ Over the Counter Bulletin Board (OTCBB). The OTC Bulletin Board¨ (OTCBB) is a regulated quotation service that displays real-time quotes, last-sale prices, and volume information in over-the-counter (OTC) equity securities. An OTC equity security generally is any equity that is not listed or traded on NASDAQ¨ or a national securities exchange. As such the OTC is a junior market , the entry level for companies wishing to offer their shares to the public and a stepping stone toward full listing on The NASDAQ Stock Market.

The key differences between OTCBB and NASDAQ are:

The OTCBB is a quotation medium for subscribing members, not an issuer listing service. OTCBB securities are traded by a community of Market Makers that enter quotes and trade reports through a highly sophisticated, closed computer network, which is accessed through NASDAQ Workstation IITM.

The OTCBB is unlike The NASDAQ Stock Market in that it:

 - does not impose listing standards
 - does not provide automated trade executions;
 - does not maintain relationships with quoted issuers; and
 - does not have the same obligations for Market Makers.

Eligibility

 - Company must be an operating company in good standing (no hidden skeletons!)
 - Financial accounts in GAAP ( US accounting standards)
 - Minimum annual income of $200,000
